Terms and Conditions

1. Acceptance of Terms

By accessing or using any services provided by VNet Technologies ("VNet", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These Terms and Conditions apply to all clients, visitors, and users who access or use our technology services, including but not limited to fleet management, satellite communications, push-to-talk solutions, internet connectivity, smart technology, and field service management.

2. Services

VNet Technologies provides a range of ICT solutions and managed services. The specific scope, deliverables, service levels, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work entered into between VNet and the client.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Client Obligations

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in Guyana and any other jurisdiction in which you operate.

You agree not to misuse our services, attempt to gain unauthorised access to any systems or networks, transmit harmful or malicious content, or interfere with the proper functioning of our infrastructure or that of our partners.

4. Intellectual Property

All intellectual property rights in the services, software, systems, documentation, and materials provided by VNet Technologies remain the exclusive property of VNet or its licensors. Nothing in these Terms grants you any ownership rights in our intellectual property.

You are granted a limited, non-exclusive, non-transferable licence to use the services and any associated software solely for your internal business purposes during the term of your service agreement. You may not copy, modify, distribute, sell, or sublicense any part of our services or materials without our prior written consent.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the provision of services. This obligation survives the termination of any service agreement and continues for a period of three (3) years thereafter, unless the information enters the public domain through no fault of the receiving party.

6. Payment Terms

Payment terms are as specified in the applicable Service Agreement or invoice. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. VNet reserves the right to suspend services for accounts that are overdue by more than thirty (30) days after written notice.

All fees are exclusive of applicable taxes, duties, and levies. You are responsible for all taxes applicable to your use of our services under the laws of Guyana or any other relevant jurisdiction.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VNet Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or business interruption, arising out of or in connection with your use of our services.

Our total aggregate liability to you for any claims arising under or in connection with these Terms or any service agreement shall not exceed the total fees paid by you to VNet in the three (3) months immediately preceding the event giving rise to the claim.

8. Warranties and Disclaimers

VNet Technologies warrants that it will provide services with reasonable skill and care in accordance with industry standards. Except as expressly stated in a Service Agreement, all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components. We are not responsible for any delays, failures, or interruptions caused by factors outside our reasonable control, including but not limited to natural disasters, power outages, or third-party network failures.

9. Termination

Either party may terminate a service agreement in accordance with the termination provisions set out therein. VNet reserves the right to immediately suspend or terminate access to services if you breach these Terms or any applicable service agreement and fail to remedy such breach within fourteen (14) days of written notice.

Upon termination, all licences granted to you will immediately cease, and you must stop using our services. Any outstanding payment obligations will survive termination.

10. Governing Law and Dispute Resolution

These Terms and Conditions and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of Guyana, without regard to its conflict of law provisions.

Any dispute that cannot be resolved amicably between the parties within thirty (30) days of written notice shall be referred to the courts of Guyana, which shall have exclusive jurisdiction over such disputes.

11. Changes to These Terms

VNet Technologies reserves the right to update or modify these Terms and Conditions at any time. We will notify existing clients of material changes via email or through our website. Your continued use of our services after any changes take effect constitutes your acceptance of the revised Terms.
